NOVOMATIC AG Group has entered into a scheme implementation deed with Ainsworth Game Technology to acquire all of the gaming solutions supplier’s outstanding shares, for a final cash consideration of $1 per share via a scheme of arrangement. 

Currently, the gaming technology group has a 52.9% existing stake in Ainsworth that was purchased from the supplier’s founder, Len Ainsworth, in 2016. 

Approval from Ainsworth’s shareholders is required for the transaction to be completed, alongside customary closing conditions. The offer is not conditional on due diligence or regulatory approvals, and the Foreign Investment Review Board has approved the offer.

Ainsworth’s Independent Board Committee has unanimously recommended that the supplier’s shareholders vote in favour of the transaction, which is expected to close in the second half of 2025.

Listed on the Australian Securities Exchange, Ainsworth is headquartered in Newington, Sydney. If the deal is approved, its global operations will join NOVOMATIC’s group of around 300 subsidiaries covering more than 130 countries with over 26,200 employees.

Earlier this month, NOVOMATIC was awarded a gaming related vendor licence by the General Commercial Gaming Regulatory Authority to expand its services into the United Arab Emirates.
